Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Riya platform (“Service”) operated by Synvolve Intellis Private Limited (“Company”, “we”, “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age and have the authority to enter into a binding agreement on behalf of your organisation to use this Service. The Service is intended for business use only.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at legal@synvolveintellis.com if you suspect any unauthorised use.

Each workspace (tenant account) is isolated. You are responsible for all users you invite into your workspace and for their compliance with these Terms.

3. Acceptable Use

You agree not to use the Service to:

• Impersonate another person or entity or misrepresent your affiliation.
• Deploy agents designed to deceive end-users in a harmful, fraudulent, or illegal manner.
• Transmit unlawful, defamatory, obscene, or privacy-violating content.
• Attempt to reverse-engineer, scrape, or probe the platform infrastructure.
• Circumvent rate limits, access controls, or the tenant-isolation architecture.
• Violate any applicable law, including India's Information Technology Act 2000 and rules thereunder.

4. Subscription & Payments

Subscription fees are billed in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST) at the prevailing rate (currently 18%). Invoices with GST breakdowns are provided for each billing cycle.

All subscription fees are non-refundable except where required by applicable Indian law. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.

We reserve the right to suspend your account for non-payment after a 7-day grace period following the due date.

5. Intellectual Property

The Riya platform, including all software, designs, and documentation, is owned by Synvolve Intellis Private Limited and protected by applicable intellectual property laws. You retain all rights to the content (agent configurations, knowledge base documents, conversation data) you upload to the platform.

By uploading content, you grant us a limited, non-exclusive licence to process it solely for the purpose of providing the Service to you.

6. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to compliance with India's Digital Personal Data Protection Act (DPDPA) 2023.

Conversation data processed through your agents is stored encrypted and isolated per tenant. We do not use your tenant's conversation data to train shared or public models.

7. Service Availability & SLA

We target 99.9% monthly uptime for the production platform. Scheduled maintenance windows will be communicated at least 48 hours in advance via email or in-app notification. We are not liable for downtime caused by third-party infrastructure providers, force majeure events, or misuse of the Service.

8. Termination

You may cancel your subscription at any time from within your account settings. Upon cancellation, your access to the Service will continue until the end of the current billing cycle.

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases and your data will be retained for 30 days before deletion, during which you may request an export.

9. Limitation of Liability

To the maximum extent permitted by law, Synvolve Intellis Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability shall not exceed the amount paid by you to us in the three months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or uninterrupted.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
